This document is published in English. The English version is the authoritative legal text; if you need a translation in another language, contact us at legal@voxinow.com and we will make a reasonable effort to provide one. In case of conflict between any translation and the English version, the English version prevails.

Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the VoxiNow platform, including our website, mobile applications, and all related services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use our Service.

Description of Service

VoxiNow is a language learning platform that connects learners with fluent speakers for practice through:

  • Unlimited 1-on-1 audio calls (for all users, free and VIP) in four modes: Exchange, Cross-Talk, Practice Together, or Whatever (first available match of any type)
  • Scheduled call offers — VIP members can post future call slots that any registered user can propose to join (see Scheduled Calls below)
  • Searchable user catalog to find exchange partners and fellow learners based on your language pair, proficiency, and recent activity
  • Audio recording and feedback from fluent speakers (credits system)
  • Private messaging between users
  • Instant matching with language partners
  • Conversation prompts and discussion topics during calls
  • Session links for inviting guests to calls (no account required, age-verified)
  • Post-call 5-star ratings
  • Flashcard-based knowledge base with spaced repetition for vocabulary review
  • Public collections for community sharing and forking
  • Collection import/export as portable JSON files
  • Voice notes on flashcards for pronunciation practice
  • In-call voice memos for capturing phrases worth keeping during a call

Account Registration

To use our Service, you must:

  • Be at least 18 years old (or the minimum age required in your jurisdiction)
  • Provide accurate and complete registration information
  • Keep your account credentials secure and confidential
  • Notify us immediately of any unauthorized access to your account
  • Not create accounts for others without permission
  • Not create multiple accounts to circumvent restrictions

You may register using your email address or sign in via Google or Apple OAuth. When using OAuth, we receive your name and email address from the provider.

You are responsible for all activities that occur under your account.

User Catalog and Visibility

Once you register and confirm your email, your public profile is listed in our user catalog so other users can discover you as a potential language partner or fellow learner. The catalog displays:

  • Your username and avatar
  • Your country (self-declared at signup; shown as a flag/label so partners can choose based on region)
  • Your native language and accent
  • Your target language, accent, proficiency level, and learning level
  • Any optional additional fluent language you have declared, and its proficiency

Catalog results are ordered so that recently-active users appear first. Alongside your username, other users see a coarse activity bucket ("Active today", "Active this week", or "Active this month") when applicable; if you have not been active in the past 30 days, no activity label is shown. Your exact last-active timestamp is never displayed.

If you enable the same-gender matching preference in your settings, that filter also applies to catalog visibility: users whose gender does not match your preference will not see you in their catalog, and you will not see them.

To remove yourself from the catalog, close your account through the app settings. As described in the "Account Termination" section, your profile is hidden from other users immediately upon closure.

Acceptable Use

When using our Service, you agree to:

  • Treat all users with respect and courtesy
  • Use the platform for language learning purposes
  • Provide constructive, honest feedback when giving reviews
  • Report inappropriate behavior or content
  • Comply with all applicable laws and regulations

Don't

  • Harass, threaten, or intimidate other users
  • Share sexually explicit, violent, or offensive content
  • Use the platform for dating, solicitation, or commercial purposes
  • Impersonate others or provide false information
  • Spam or send unsolicited promotional content
  • Repeatedly post scheduled call offers without intending to host them, or repeatedly accept proposals you do not intend to honour
  • Use scheduled call notes or proposal notes to send unsolicited promotional content, harassment, or off-platform contact information
  • Attempt to circumvent security measures or restrictions
  • Share recordings of other users without their consent
  • Infringe on intellectual property rights
  • Use automated tools or bots to access the Service

User Content

Your Content

You retain ownership of content you create and upload, including audio recordings and written feedback. By uploading content, you grant VoxiNow a non-exclusive, worldwide, royalty-free license to use, store, and display your content as necessary to provide the Service.

Public Recordings

If you mark a recording as "public," it may be viewed by any user of the platform. You are solely responsible for the content of your public recordings.

Content Standards

All content must:

  • Be relevant to language learning
  • Not contain hate speech, discrimination, or harassment
  • Not violate any third-party rights
  • Not contain malware or harmful code

We reserve the right to remove any content that violates these standards.

Knowledge Base and Flashcards

VoxiNow includes a built-in knowledge base where you can create and review flashcards to reinforce your language learning.

Flashcards and Collections

You can create flashcards (vocabulary, phrases, grammar rules, expressions) organized into collections. Every flashcard must belong to a collection — when you create your first flashcard you will be prompted to create or select one. Collections are private by default. If you make a collection public, other users can browse and fork (copy) it into their own account.

Voice Notes

You can attach a voice note to any flashcard for pronunciation reference. Voice notes are limited to 30 seconds and 5 MB per flashcard. This limit applies equally to all users.

Spaced Repetition

Flashcards are scheduled for review using a spaced repetition algorithm (SM-2). Up to 20 new flashcards are introduced for review per day. You rate each flashcard during review, and the system adjusts the next review date accordingly.

Ownership

You retain ownership of all flashcards and collections you create. Forking a public collection creates a separate copy — the original owner's content is not affected.

Import and Export

You can export your flashcard collections as portable JSON files for backup or sharing, and import JSON files to create or populate collections.

  • Imports are limited to 5 MB per file and 500 flashcards per import operation
  • Imported flashcards default to private visibility and are owned by the importing user
  • VIP quota limits apply — an import will be rejected if it would exceed your remaining flashcard quota
  • You are responsible for ensuring that imported content, including any images, complies with applicable licenses and our content standards
  • Import/export covers flashcard content only — review history and scheduling data are not included

In-Call Voice Memos

During a call, you can capture short voice memos from your own microphone. Memos are private to you, never shared with the call partner, and never include the partner's audio.

  • Each memo is limited to 30 seconds
  • Per-call and lifetime total quotas apply (regular: 2 per call and 10 total; VIP: 8 per call and 200 total)
  • Memos are stored privately in your account and can be played back, labeled, promoted to a flashcard, or deleted at any time
  • Memos count toward your storage usage but are kept separately from audio recordings

Feedback Guidelines

When providing feedback to other users:

  • Be constructive and helpful
  • Focus on language learning aspects (pronunciation, grammar, fluency)
  • Provide honest assessments
  • Avoid personal attacks or unconstructive criticism
  • Report any issues rather than engaging negatively

Call Session Conduct

During 1-on-1 language exchange calls:

  • Four call modes are available: Exchange (reciprocal language practice), Cross-Talk (each speaks their target language), Practice Together (same target language), and Whatever (first available match of any type)
  • Calls last 30 minutes total, with a language switch at the 15-minute mark
  • Be punctual and present during matched calls
  • Stay on topic for language practice
  • Do not record calls without the other party's consent
  • End calls appropriately using the provided controls
  • Block and report users who violate these guidelines
  • 1-on-1 calls are unlimited for all users
  • After each call, you are expected to rate your partner (5-star scale)

Call Behavior and Penalties

We monitor call conduct to ensure a fair experience for all users. Repeated selfish behavior — such as frequently disconnecting early, failing to connect, or leaving calls before the language switch — may result in temporary restrictions on your ability to join calls. These measures help maintain a respectful and balanced language exchange environment.

Scheduled Calls

VoxiNow lets VIP members post scheduled call offers — future time slots for a 1-on-1 language exchange call. Any registered user may submit a proposal to join an open offer; the offer's creator selects one proposal, and both parties are matched for a call at the scheduled time.

Eligibility

Creating a scheduled call offer requires an active VIP subscription. Submitting a proposal is available to all authenticated users. Guests (session-link users) cannot create or propose.

Limits

  • Each VIP may have up to 3 open offers at any time
  • Scheduled times must be between 1 hour and 14 days in the future
  • Call duration is between 10 and 60 minutes (30 minutes by default)
  • Notes on offers and proposals are limited to 280 characters
  • Proposers are limited to 5 proposals per 24 hours across the platform

Time Zones

Times are stored against the IANA timezone you selected when creating the offer. Both participants see the scheduled time in their own local zone. VoxiNow uses the current IANA timezone database; if government rules for a timezone change before your call, we will recompute the call time from your original wall-clock selection. You are responsible for confirming the displayed local time before proposing or accepting.

Anonymous Offers and Proposals

You may choose to post an offer or proposal anonymously. When a proposal is accepted, identities are automatically revealed to the two matched participants; declined and withdrawn proposals stay anonymous to the creator.

Reminders

Once a match is confirmed, both participants receive reminder push notifications at 24 hours before, 10 minutes before, and at the scheduled start time. Email reminders are also sent (subject to your notification preferences). VoxiNow is not liable for missed reminders due to device-level notification settings, network outages, or push-provider issues.

Cancellation and Changes

The offer's creator may cancel an open or matched offer at any time before the scheduled start; pending proposals are automatically declined, the matched proposer (if any) is notified, and reminder notifications are cancelled. A proposer may withdraw a pending proposal at any time before it is accepted. There is no cancellation fee or penalty fee.

As a courtesy to your match, please cancel at least 1 hour before the scheduled start whenever possible. Repeated last-minute cancellations may be considered when applying the call-conduct policies below.

Expiry

If no proposal is accepted before the scheduled start time, the offer expires automatically approximately 1 hour after the scheduled time and is removed from the public board.

No Guarantee That Your Partner Will Show Up

VoxiNow facilitates scheduling and reminders — it does not, and cannot, guarantee that the other participant will be online, audible, on time, or behave courteously during the call. If your partner does not show, you may cancel and post or accept another offer; we do not offer credits, refunds, or compensation for missed scheduled calls. Repeated no-show behaviour may be subject to our general call-conduct policies (see "Call Session Conduct").

Disputes Between Participants

Disputes about scheduled-call interactions should be reported through the in-app report flow. We reserve discretion in moderation decisions and may suspend accounts that repeatedly cancel late, no-show, or otherwise undermine the reliability of the scheduled-call system.

Data Retained

We retain offer and proposal records (including the time, language pair, notes, anonymity flag, and outcome) for analytics, abuse detection, and the activity history you see in your own "My offers" and "My proposals" views. These records follow the same retention rules as the rest of your account — they remain available if you reactivate, and are permanently deleted when you request permanent deletion of your account.

Service Availability

Scheduled Calls is a newer feature. VoxiNow may temporarily disable or modify it (including via a server-side kill switch) for maintenance, incident response, or product changes. Active matches at the time of disablement may be cancelled with notice to participants; no credit or refund is offered for cancellations caused by such service-availability changes.

Subscription

VIP membership is a paid subscription billed monthly or annually. Paddle.com Market Limited (or the equivalent Paddle contracting entity for your country — see our Refund Policy) acts as the authorised reseller and Merchant of Record ("Paddle") for VIP subscriptions on both web and mobile — Paddle is the seller of record and is responsible for checkout, billing, VAT/GST/sales-tax collection and remittance, invoicing, refunds, and chargebacks. Current pricing is shown at checkout. See our Privacy Policy for the full list of sub-processors and our Refund Policy for refund terms.

VIP subscriptions renew automatically at the end of each billing period for the same term and at the then-current price, unless cancelled before the renewal date. Paddle will send renewal reminders where required by your local law and will request your consent before charging any increased price.

Statutory consumer rights arising from your purchase — including the 14-day right of withdrawal for consumers in the EU/EEA, UK, Switzerland, and similar regimes — are governed by Paddle's Buyer Terms and Refund Policy; see our Refund Policy for details.

Cancellation and Cold Archive

How to cancel. You can cancel your VIP subscription directly from your VoxiNow account at any time: open Settings and use the Cancel subscription button. Your cancellation is sent to Paddle immediately and Paddle emails you a dated confirmation. You may also cancel via your Paddle customer portal at paddle.net.

You may cancel your VIP subscription at any time. Upon cancellation, you retain VIP benefits until the end of your current billing period, after which your account reverts to Free-tier limits.

When VIP ends (by cancellation, expiry, or downgrade), any audio recordings and voice memos that exceed the Free-tier storage cap are moved to a cold archive. Cold-archived content remains recoverable if you resubscribe to VIP, and is permanently deleted 365 days after entering the cold archive. This window applies only to entitlement-loss cold archiving — content you delete manually is removed immediately and is not retained.

Refunds

Refunds are governed by our Refund Policy.

Advertisements

Non-VIP users may see advertisements served by Google AdMob, including banner and interstitial ads (approximately every 5 interactions). VIP members are exempt from banner and interstitial ads.

Rewarded Ads

All users (including VIP members) may choose to watch rewarded video ads to earn credits. Rewarded ads are optional and user-initiated — they are never shown without your action. A daily limit of 3 rewarded ads per user applies. Each completed rewarded ad grants 1 credit, verified through Google AdMob Server-Side Verification.

Advertisement content is provided by third parties. VoxiNow does not endorse or guarantee the accuracy of any advertisements displayed on the platform.

Credits

Uploading audio recordings for feedback from fluent speakers requires credits. Credits can be earned in the following ways:

  • Giving feedback: Providing feedback on another user's recording earns you 1 credit
  • Watching rewarded ads: Watching a rewarded video ad earns you 1 credit (up to 3 per day)
  • Welcome credit: New users receive 1 free credit upon registration

Credits do not expire and cannot be transferred between accounts. Credits have no monetary value and cannot be exchanged for cash. VoxiNow reserves the right to adjust the credit system, including earning methods and daily limits, at any time.

Session Links and Guest Access

Registered users can create shareable session links to invite others to a call. Guests can join a call via session link without creating an account, provided they:

  • Provide a display name
  • Confirm they are 18 years of age or older

Guest functionality is limited to the call session. Guests cannot send messages, create recordings, or submit feedback outside of the session.

Blocking and Reporting

We provide tools to help you maintain a safe learning environment:

  • Blocking: You can block users from calling you, messaging you, or interacting with your recordings
  • Reporting: You can report inappropriate content or behavior for review by our moderation team

We take reports seriously and may suspend or terminate accounts that violate our guidelines. However, we cannot guarantee action on every report and reserve discretion in moderation decisions.

Push Notifications

VoxiNow may send push notifications to your device, including:

  • Review reminders: Daily notifications at approximately 3 PM your local time when you have flashcards due for review
  • Scheduled call notifications: Proposal received, proposal accepted/declined, offer cancelled, withdrawal, and reminders at T-24h, T-10min, and T-0 for matched calls
  • Other notifications: Messages, feedback, and call-related alerts

You can disable review reminders in your app settings. Scheduled-call reminder emails can be disabled in your account email-preferences settings. Push notifications are only sent to users who have been active within the past 30 days. You may also disable all notifications through your device's system settings.

Data Export and Portability

You can request a full export of your personal data at any time through the app settings or by contacting us. Your data export includes:

  • Your profile information (email, username, language preferences)
  • All audio recordings you have uploaded
  • Feedback you have given and received

Data export requests can be made before or after closing your account, as long as the account has not been permanently deleted.

Account Termination

By You

You may close your account at any time through the app settings or by contacting us. Upon closure:

  • Your account is soft-deleted (deactivated) and your profile is hidden from other users immediately
  • Soft-deleted account data is retained so that you can reactivate by contacting support; the reactivation window is not time-bounded today, but we may introduce one in the future
  • To request permanent deletion of all your data instead, email us at privacy@voxinow.com — we will purge the account within 30 days
  • You may optionally provide a reason for closing your account
  • When you close your account, we automatically request Paddle to cancel any active VIP subscription on a best-effort basis. If that automated cancellation fails (for example, due to a Paddle API outage at the moment of closure), your subscription may continue to renew. We recommend confirming cancellation at paddle.net
  • You can request a data export before or after closure (see "Data Export and Portability" above)

By Us

We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or for any other reason at our discretion. We will attempt to provide notice when possible.

Intellectual Property

Our Property

The Service, including its design, features, and content (excluding user-generated content), is owned by VoxiNow and protected by intellectual property laws. You may not copy, modify, or distribute our proprietary content without permission.

Third-Party Content

Images used in practice exercises are sourced from Pexels and subject to their license terms. Other third-party content may be subject to additional terms.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee:

  • Uninterrupted or error-free service
  • The accuracy of user-provided content or feedback
  • Specific learning outcomes or language proficiency improvements
  • The behavior or reliability of other users
  • That a scheduled-call counterpart will join, be punctual, or remain for the full call duration
  • Compatibility with all devices or platforms

Limitation of Liability

To the maximum extent permitted by law, VoxiNow shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:

  • Loss of data or content
  • Interactions with other users
  • Service interruptions or technical issues
  • Unauthorized access to your account

Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

Indemnification

You agree to indemnify and hold VoxiNow harmless from any claims, damages, or expenses arising from:

  • Your violation of these Terms
  • Your content or activities on the platform
  • Your interactions with other users
  • Any third-party claims related to your use of the Service

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

Governing Law and Dispute Resolution

These Terms, entered into between you and VoxiNow LLC, a Wyoming limited liability company ("VoxiNow"), shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, excluding its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You and VoxiNow agree to first attempt to resolve any dispute informally by contacting us at legal@voxinow.com. If a dispute cannot be resolved informally within 60 days, it shall be submitted to binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The seat of arbitration shall be Sheridan, Wyoming, USA. Either party may seek injunctive or equitable relief in the courts of Sheridan County, Wyoming for matters that cannot be addressed in arbitration.

Consumers in the EU/EEA, the United Kingdom, and Switzerland. If you are a consumer resident in the European Union, the European Economic Area, the United Kingdom, or Switzerland, nothing in this section requires you to arbitrate or to litigate outside your country of residence. You may bring proceedings against VoxiNow in the courts of your country of domicile, the mandatory consumer-protection law of your country of residence applies to you, and VoxiNow may bring proceedings against you only in the courts of your country of domicile. The arbitration and Wyoming-venue provisions above apply to you only to the extent permitted by that mandatory law.

Nothing in this section limits your statutory consumer rights under the laws of your country of residence where those rights cannot be waived by contract.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
